Concentrations

Companies regularly merge, establish joint ventures or acquire other companies. A ‘concentration’ in competition law terms may then play a role.

Reporting

When companies acquire a large share of the market as a result of a merger, this can have a negative impact on competition. This is why concentrations that exceed certain turnover thresholds have to be reported to the Netherlands Authority for Consumers and Markets (ACM), the Dutch Healthcare Authority (NZa) and/or the European Commission, and in some cases require a licence or litigation.

Dominance

The key idea here is that certain major concentrations may affect competition, potentially leaving (too) little competition or creating a dominant position. In practice, it is important to check whether there is a concentration (for which an obligation to report exists) and to have any reporting supported by a specialist.
