What we do
We are happy to assist you in setting up legal entities, such as B.V.'s, N.V.'s, cooperatives, associations and foundations. We also have extensive experience in setting up collaborations and joint ventures, including the drafting of shareholder agreements, partnerships, general partnerships and limited partnerships. In addition, we take care of amendments to the articles of association, issues and transfers of shares as well as the establishment of pledges on shares. We can also assist you in advising on and setting up employee participations, with or without the use of depositary receipts for shares.
We have extensive experience in applying the right governance and are happy to advise on this, also drawing up the necessary articles of association, agreements and regulations. For family businesses, we look for the connection between family and the company, whereby a family charter can provide further direction between family interest and business interest. We are also at your service for governance issues at institutions, such as healthcare and educational institutions. Our expertise extends to assisting two-tier companies and taking care of restructurings, mergers, demergers, dissolutions and liquidations. Where necessary, we supervise acquisitions in collaboration with our lawyers.
